On October 24, Infore Enviro (SZ.000967) announced that the 49th Meeting of the Review Board for Mergers, Acquisitions and Restructurings of Listed Companies of China Securities Regulatory Commission (CSRC) examined and approved the purchase of 100% equity of Zoomlion Environmental Industry Co., Ltd. (hereinafter referred to as “Zoomlion-Enviro”) by Infore Environment Technology Group Stock Co.Ltd. (hereinafter referred to as “Infore Enviro”) by means of issuing shares.
After acquisition of Universtar Science & Technology (Shenzhen) Co., Ltd. and holding Shenzhen Green Oriental Environmental Protection Co., Ltd., Infore Enviro has basically realized the layout of the whole industrial chain in the environmental protection industry, and extended its business to many fields including environmental monitoring, solid waste treatment, atmospheric treatment, water environment treatment, high-end equipment manufacture and integrated operation services. The approval of the merger and acquisition of Zoomlion-Enviro indicates that Infore Enviro will formally enter the integrated service area of sanitation equipment and sanitation operations and become one of the comprehensive environmental protection private enterprises with the most comprehensive environmental protection industrial clusters in China.

According to the restructuring plan, the listed company will hold 100.00% equity of Zoomlion-Enviro through this transaction, and Zoomlion-Enviro will become a wholly-owned subsidiary of the listed company and be included in the scope of consolidated statements. In the profit commitment period of 2018, 2019 and 2020, other eight shareholders such as Ningbo Infore promise that the consolidated statements realized by Zoomlion-Enviro which, after deduction of non-recurring profit and loss, shall be no less than 997 million yuan, 1.230 billion yuan and 1.495 billion yuan respectively, with the cumulative net profit no less than 3.722 billion yuan, will belong to the parent company. It will improve the profitability of the listed company after inclusion of Zoomlion-Enviro into its consolidation scope.
